(EiDF), after obtaining <strong>irrevocable acceptance commitments representing more than 65% of EiDF\u2019s share capital<\/strong>. This majority support highlights the strategic value of the transaction and its attractiveness for both companies.<\/p>\n<p><\/p>\n<p data-start=\"663\" data-end=\"880\">Greening\u2019s Extraordinary General Shareholders\u2019 Meeting, held on January 15, 2026, <strong>unanimously<\/strong> approved all the resolutions required to execute the transaction, including the acquisition of EiDF\u2019s entire share capital.<\/p>\n<p><\/p>\n<p data-start=\"882\" data-end=\"1197\">In addition, Greening has secured <strong>subscription commitments for an amount exceeding 15 million euros, which represents 50% of the capital increase of up to 30 million euros approved by the General Shareholders\u2019 Meeting<\/strong>, significantly strengthening the project\u2019s financial solidity and its execution capacity in accordance with the planned schedule.<\/p>\n<p><\/p>\n<p data-start=\"1199\" data-end=\"1380\">With these commitments,<strong> the OPA far exceeds the minimum acceptance of 40%<\/strong> of EiDF\u2019s share capital, paving the way for its effective completion in the coming days.<\/p>\n<h2 data-start=\"1382\" data-end=\"1435\">A project with global leadership ambitions is born<\/h2>\n<p><\/p>\n<p data-start=\"1437\" data-end=\"1849\">The integration of Greening and EiDF will enable the combined group to<strong> reach critical<\/strong> scale by bringing together EiDF\u2019s specialization in photovoltaic and energy storage solutions in Spain with Greening\u2019s international presence, technological diversification, and vertically integrated model, spanning renewable energy generation, development, construction, and commercialization across Europe and North America.<\/p>\n<p><\/p>\n<p data-start=\"1851\" data-end=\"2154\">The resulting project aims to establish itself as a <strong>leading player in the renewable energy sector<\/strong>, with greater scale, financial strength, and execution capacity, ready to capitalize on the acceleration of the energy transition and the growth of <strong>strategic areas such as energy storage and hybridization.<\/strong><\/p>\n<p><\/p>\n<p data-start=\"2156\" data-end=\"2624\"><strong>Ignacio Salcedo<\/strong>, Chairman of Greening\u2019s Board of Directors, stated: <em>\u201cThe unanimous approval by our shareholders and the high level of irrevocable acceptance commitments confirm that this transaction has strong and shared backing.
