(EiDF), after reaching an acceptance level of 92.10% of its share capital. This majority support confirms the strength of the project and marks the beginning of a new phase for the company.<\/strong><\/p>\n<p>Madrid, 20 de Febrero de 2026.<\/p>\n<p><strong>The Offer has been accepted for 60,823,772 EiDF shares<\/strong>, representing 92.10% of its share capital, <strong>significantly exceeding the minimum acceptance threshold set by Greening<\/strong> at over 40% of the voting rights, thereby confirming the clear success of the transaction. This result reflects the <strong>strong confidence of EiDF shareholders<\/strong> in the strategic plan proposed by Greening and in the growth potential of the combined group.<\/p>\n<h2>Issuance of new shares<\/h2>\n<p>In accordance with the agreed exchange ratio of 1<strong> Greening share for every 3.894 EiDF shares, the company will settle the consideration through the issuance and placement of 15,619,610 new shares.<\/strong> The execution of the non-cash capital increase will take place in the coming days and will be duly communicated to the market.<\/p>\n<p><strong>Ignacio Salcedo, Executive Chairman of Greening<\/strong>, stated: <em>\u201cWe are excited to begin this integration, which will enable us to create an international leader in renewable energy. Achieving a 92% acceptance rate demonstrates the clear and strong endorsement of the industrial project we have presented.\u201d<\/em><\/p>\n<h2>A transformational transaction<\/h2>\n<p><strong>The integration will create a renewable energy group of greater scale, with a differentiated value proposition based on the complementarity of both companies:<\/strong> EiDF\u2019s specialization in photovoltaic and energy storage solutions in Spain, and Greening\u2019s vertically integrated model, with international presence and activities across generation, development, construction, and renewable energy commercialization.<\/p>\n<p>Through this transaction, <strong>Greening strengthens its positioning in strategic segments such as energy storage and hybridization<\/strong>, within a context of strong growth in demand for sustainable and flexible energy solutions.<\/p>\n<p><strong>Pablo Ot\u00edn, CEO of Greening<\/strong>, added: <em>\u201cThis integration will allow us to improve efficiency, strengthen our execution capabilities, and accelerate growth in energy retail, self-consumption, storage, and hybridization.
